Comprehensive terms governing the use of the FIVO mobile application and website in the Kingdom of Saudi Arabia.

Introduction
These Terms and Conditions ("Terms") govern the use of FIVO, a digital platform operated in the Kingdom of Saudi Arabia that enables home businesses and micro-enterprises ("Businesses") to subscribe, create listings, and showcase products or services, and consumers ("Users") to browse listings, chat with Businesses, and inquire directly.
By using FIVO, you acknowledge that:
- FIVO acts only as a listing, discovery, and communication platform.
- FIVO is not a seller, intermediary, agent, escrow service, payment handler, logistics provider, or delivery facilitator.
- FIVO does not take responsibility for transactions, product quality, payments, refunds, returns, disputes, or compliance of Business activities.

Definitions
For clarity:
- "FIVO", "Platform", "We", "Us", "Our" means the digital service operated in KSA.
- "Business", "Seller" means any entity or person listing products or services on FIVO.
- "User", "Consumer", "Buyer" means any person browsing or interacting with listings.
- "Subscription" means the monthly paid plan to access business features.
- "Content" means all material uploaded by Users or Businesses including text, images, videos, messages, and listings.
- "Services" means listing, browsing, communication, and profile management.
- "PDPL" means Saudi Arabia's Personal Data Protection Law (SAMA/NCA regulated).

Nature of FIVO Services
3.1 Listing Platform
FIVO provides technology only:
- Listing platform
- Product or service catalog
- Messaging and chat tool
- Profile management
- Subscription management
- Promotions management
3.2 FIVO Does Not
- Sell products
- Own listed products
- Confirm product availability
- Deliver goods
- Handle shipping
- Collect payments between Users and Businesses
- Offer escrow or guarantees
- Process returns or exchanges
- Mediate disputes
All transactions are strictly between Business and User.
3.3 No Agency or Representation
FIVO does not act as an agent, broker, commission representative, guarantor, or verifier of any Business. Businesses operate independently and are solely responsible for their legal compliance.

Eligibility & Account Creation
4.1 For Businesses
To register as a Business, you confirm:
- You operate legally within Saudi Arabia.
- You possess valid Maroof registration (if applicable).
- You are at least 18 years old.
- You can legally enter binding agreements.
- All submitted documents are accurate and verified.
You are fully responsible for complying with Ministry of Commerce regulations, ZATCA (Tax, VAT) requirements, Saudi Cybersecurity laws, Consumer Protection Laws, CITC policies, and PDPL data protection standards. FIVO reserves the right to request proof of identity, Maroof registration, or additional documentation.
4.2 For Users
Users acknowledge that:
- They must be 18+.
- They use the app for personal, non-commercial purposes.
- Their interactions must comply with Saudi law.
- FIVO may suspend or terminate accounts without notice for violations.

Business Subscriptions, Billing, and Payment Terms
5.1 Subscription Fees
Businesses pay a monthly subscription fee to list products or services or to promote their listings. Fees are non-refundable, must be paid in advance, may be changed with prior notice, and apply per Business profile.
5.2 Payment Processors
Payments may be processed through Mada, Apple Pay, and credit or debit cards. Subject to your approval, FIVO might store full payment card numbers.
5.3 Auto-Renewal
Subscriptions renew automatically every month unless cancelled.
5.4 Refund & Cancellation Policy
- No refunds for partial months.
- No refunds for unused time.
- Cancellation must be made before the next billing date.
- Failure to pay results in automatic suspension.

Business Listings - Responsibilities & Restrictions
Businesses are fully responsible for all listing content including accuracy of product or service descriptions, authenticity of photos, pricing, availability, fulfillment, complaints handling, delivery timelines, product warranty (if applicable), and compliance with Saudi commercial regulations.
6.1 Prohibited Listings
Businesses may not list:
- Illegal, controlled, or counterfeit items
- Tobacco, alcohol, drugs, or stimulants
- Firearms, knives, or dangerous items
- Adult content or services
- Medical drugs, supplements, or regulated health products
- Gambling or lottery services
- Cryptocurrency trading or financial investments
- Any item prohibited by Saudi law
FIVO may remove prohibited content without prior notice.

User Responsibilities
Users must:
- Verify information directly with Businesses.
- Interact respectfully via chat.
- Not misuse the Platform for illegal activities.
- Not request or purchase prohibited items.
- Not harass, scam, or impersonate others.
Users acknowledge that FIVO does not guarantee product quality, delivery, communication response times, or Business legitimacy.

Chat & Communication Policy
The chat tool is provided to facilitate communication but:
- FIVO does not intervene in conversations.
- FIVO may monitor chats for abuse, violation, or security.
- FIVO is not responsible for messages sent between parties.
- FIVO is not responsible for agreements made in chat.
All negotiation must occur directly between User and Business.

Privacy Policy
9.1 Collected Data
FIVO may collect personal identification data (name, phone, email), business registration details, device information, usage and analytics, chat metadata, payment metadata, and location (if permission granted).
9.2 Use of Data
Data is used to operate and improve the Platform, authenticate users, provide customer support, improve algorithmic recommendations, ensure legal compliance, prevent fraud, and monitor suspicious behavior.
9.3 Data Storage & Security
FIVO follows PDPL requirements and implements encryption, multi-factor authentication, access control protocols, and data minimization principles. FIVO does not sell personal information to third parties.
9.4 Sharing of Data
We may share minimal necessary data with payment processors, cybersecurity auditors, and legal authorities if required.

IT & Cybersecurity Clauses
Users must not upload viruses or malicious code, attempt to hack the system, use automated bots or scrapers, reverse-engineer the app, interfere with server operations, or access unauthorized accounts.
FIVO follows National Cybersecurity Authority (NCA) controls, CITC digital service compliance, and PDPL privacy rules. Violation may result in legal action.

Intellectual Property
All FIVO software, trademarks, design, logos, database structures, and branding are owned exclusively by FIVO.
Users may not copy, distribute, modify, extract data, or create derivative works. All Business content remains their property, but FIVO is granted a non-exclusive license to display such content.

Limitation of Liability
FIVO is not liable for misrepresentation by Businesses or Users, product failure, defects or damages, delivery delays or failures, fraudulent behavior, incorrect listings, financial losses, technical issues, downtime or outages, data loss due to third-party providers, misuse of the Platform, or unauthorized account access.
Maximum liability (if applicable) is limited to the last 30 days of subscription fees paid.

Disputes Between Users and Businesses
FIVO is not part of any dispute, will not mediate or negotiate, does not provide customer service for transactions, and has no obligation to resolve conflict. All disputes must be resolved directly between the Business and the User.

Termination & Suspension
FIVO may terminate or suspend accounts for violation of laws, fraudulent behavior, payment issues, abuse of platform, posting prohibited items, cybersecurity risks, or any conduct against Saudi public morals or regulations. Termination may occur without prior notice.

Governing Law & Dispute Resolution
These Terms are governed by the laws of the Kingdom of Saudi Arabia, Ministry of Commerce regulations, PDPL, Consumer Protection Laws, E-Commerce Law, and Cybersecurity Frameworks.
Any dispute will be resolved through an internal support inquiry and, if unresolved, Saudi courts with jurisdiction in Eastern Province, KSA.

Amendments to Terms
FIVO reserves the right to update these Terms at any time. Continued use of the Platform constitutes acceptance of new Terms.

Cookie & Tracking Policy
FIVO may use cookies, analytics tools, device identifiers, and crash reporting tools. Users can disable cookies, but some features may not work.

App Store Terms
Users downloading FIVO through Google Play or App Store agree to additional terms imposed by Apple App Store Policies and Google Play Developer Guidelines. FIVO is not responsible for app store malfunctions or billing errors via app stores.
